Sierrainet, LLC Terms of Service Summary

1. Acceptance of Terms

These Terms constitute a legally binding agreement between Sierrainet, LLC and the Client. The agreement becomes active upon executing a Statement of Work (SOW) or Master Services Agreement (MSA), completing platform onboarding, or the first use of any Sierrainet service.

 

2. Services Provided

Sierrainet provides various enterprise solutions, including:

  • AI Digital Transformation: Consulting, implementation, and governance frameworks.

     
  • Program Management Provisioning: PMO operation, health monitoring, and reporting frameworks.

     
  • Platform Access: Cloud-based tools, analytics dashboards, and AI orchestration.

     
  • Professional Advisory: Executive coaching, AI ethics, and regulatory compliance counsel.

     

3. Account Access & Security

  • Clients are responsible for safeguarding credentials (passwords, API keys) and maintaining an accurate list of Authorized Users.

     
  • Sierrainet operates a multi-tenant environment; interfering with other clients’ data or systems is strictly prohibited.

     
  • Access may be suspended for material breaches, security risks, or if undisputed fees are 15 days past due.

     

4. Intellectual Property (IP)

  • Sierrainet IP: Sierrainet retains all rights and ownership of its platforms, AI models, frameworks, and methodologies. Clients receive a limited, non-exclusive license to use these during the service term.

     
  • Client IP: Clients retain complete ownership of their data and any custom deliverables created exclusively for them.

     

5. Acceptable Use

Clients and their users are strictly prohibited from:

  • Reverse-engineering the platform or AI components.

     
  • Extracting competitive intelligence to build a competing product.

     
  • Attempting unauthorized access via automated scraping or probing.

     
  • Generating content that is illegal, defamatory, or harmful.

     

6. AI Output Disclaimer

  • Advisory Nature: All AI-generated outputs (content, predictions, analyses) are probabilistic and advisory. They do not constitute professional, medical, legal, or financial advice.

     
  • Client Responsibility: Clients are solely responsible for decisions made based on AI outputs.

     
  • Regulated Industries: Clients in regulated fields (healthcare, finance, legal, government) must mandate documented human review protocols for any AI output that influences a regulated decision or outcome.

     

7. Payments & Billing

  • Invoices are typically due Net 30 days from the invoice date.

     
  • Late payments will accrue interest at 1.5% per month.

     
  • Disputed invoices must be reported in writing within 10 business days of receipt.

     

8. Confidentiality

Both parties agree to protect each other’s Confidential Information, using it solely to fulfill contracted services. These confidentiality obligations survive for three years post-termination, while trade secret protections survive indefinitely.

 

9. Liability & Warranties

  • Sierrainet warrants that services will be performed in a professional manner consistent with industry standards. Otherwise, services are provided “as is” and “as available”.

     
  • Liability Cap: Sierrainet’s total liability is capped at the total fees paid by the client in the 12 months preceding the incident.

     
  • Neither party is liable for indirect, consequential, or punitive damages (e.g., lost profits or data).

     

10. Term & Termination

For Convenience: Either party may terminate an SOW with 30 days’ prior written notice.

For Cause: A material breach allows for termination if the breaching party fails to cure the issue within a 10-day notice period.

 
  • Upon termination, client data will be securely destroyed or returned within 30 days.

     

11. Governing Law & Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the State of California.

     
  • Disputes: Mandatory 60-day executive escalation period is required before arbitration. Unresolved disputes will be settled via binding AAA arbitration in San Jose, California.

     
  • Class Action Waiver: Both parties waive the right to participate in class actions or representative proceedings.
